INCORPORATION
We regularly act on the incorporation of Alberta and federal corporations, as well as Alberta societies.
Corporate Annual Filings and Resolutions
An Alberta or federal corporation is required to take certain steps each year to remain in existence, and to comply with the requirements of the applicable Business Corporations Act. We are the registered office for over 500 corporations, assisting them to remain compliant with the law.
Extra-provincial registrations
A corporation must register in each province it carries on business in. For example, a Saskatchewan corporation that does business in Alberta is required by Alberta law to register with the Alberta Corporate Registry to indicate that it does business here.
We are experienced in registering corporations from outside Alberta into the Alberta Corporate Registry system, and we also assist Alberta corporations in registering in the other provinces they do business in.
Reorganizations and amalgamations
Life brings change, both to people and to businesses. Whether it is for estate planning reasons, a business expansion, or a retirement, we are often involved in reorganizing the share ownership of corporations. This is a particularly difficult area of law to master, and we are proud that we do it well.
